These Terms of Service (“Terms”) govern your use of the Yaya mobile application (“App”) and related services, operated by Yaya Middle East FZ-LLC (“Yaya,” “we,” or “our”), a company incorporated in Ras Al Khaimah, United Arab Emirates.

By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the App.

1. Description of Services

Yaya operates as a digital platform that connects families with domestic workers. Our services include:

• Job Matching for Domestic Workers (“Carefinder”): Families (“Service Seekers”) may browse profiles of individuals (“Service Providers”) seeking employment as nannies, housemaids, or caregivers, and may communicate with them directly.

• Yaya does not act as an employer, agent, or recruitment service for domestic workers.

2. Yaya’s Role & Limitation of Liability

Yaya is a platform provider only. We do not directly hire, verify, screen, or manage any Service Provider.

• No Employment Relationship: Yaya is not the employer of any Service Provider. Any contracts for employment are made solely between the Service Seeker and the Service Provider.

• No Verification or Screening: Yaya does not conduct interviews, background checks, or reference checks. Service Seekers are solely responsible for performing due diligence before hiring.

• Compliance with Local Laws: Users are responsible for ensuring compliance with applicable labor, visa, and consumer laws in their jurisdiction. Yaya does not provide legal advice and does not act as a licensed recruitment agency.

3. User Eligibility

By using the App, you represent and warrant that you:

• Are at least 18 years old.

• If registering as a Service Provider, are legally permitted to work in the jurisdiction where you seek employment.

• Have no criminal history related to violence, abuse, fraud, or offenses endangering the safety of others.

• Are not registered or required to register as a sex offender in any jurisdiction.

Yaya reserves the right to suspend or remove accounts that violate these eligibility criteria and to report suspected criminal activity to relevant authorities.

4. User Accounts

To access certain features, you must create a User Account. You agree to:

• Provide accurate, complete, and up-to-date registration data.

• Keep your login credentials secure and confidential.

• Notify Yaya immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that pose a security risk or violate these Terms.

5. User Responsibilities

By using the App, you agree to:

• Provide truthful and accurate information in your profile.

• Refrain from posting false, misleading, or unlawful content.

• Respect the privacy of other users.

• Avoid harassment, discrimination, or abusive conduct.

• Comply with all applicable laws and regulations.

6. Intellectual Property

• User Content: By submitting content to Yaya, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with our services.

• Platform Content: All Yaya materials (text, graphics, logos, software) are protected by intellectual property laws. You may not use or distribute them without our written consent.

7. Subscription Terms

• Yaya offers subscription plans through Apple App Store and Google Play.

• Subscriptions auto-renew unless canceled at least 24 hours before the renewal date.

• Charges are processed by Apple or Google at the time of purchase.

• Subscription management and cancellations must be done through your Apple or Google account settings.

• Refund requests must be directed to Apple or Google in accordance with their policies.

8. Limitation of Liability

To the fullest extent permitted by law, Yaya is not liable for:

• Any disputes, claims, or damages arising from engagements between Service Seekers and Service Providers.

• Fraudulent or inaccurate information posted by users.

• Indirect, incidental, or consequential damages, including loss of profits or data.

Nothing in these Terms limits rights provided under applicable consumer protection laws.

9. Termination of Service

We may suspend or terminate accounts that:

• Violate these Terms.

• Engage in fraudulent or unlawful activity.

• Pose risks to other users or to Yaya’s platform.

Terminated users are not entitled to refunds or reinstatement.

10. Reviews & Feedback

• Users may leave factual, experience-based reviews.

• Yaya does not verify reviews and may remove misleading, defamatory, or harmful content.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Disputes shall be resolved exclusively through binding arbitration at the Dubai International Arbitration Centre (DIAC).

• Class Action Waiver: You agree to resolve disputes with Yaya on an individual basis and waive the right to participate in a class, collective, or representative action.

12. Regional Differences

UAE Users

• Users must comply with UAE Domestic Workers Law (Federal Law No. 10/2017) and related MOHRE requirements.

• Yaya advises Service Seekers to ensure contracts and visas are compliant with UAE law.

Bahrain Users

• Users must comply with Bahraini labor and immigration laws, including visa sponsorship requirements overseen by the Ministry of Labour and Social Development.

• Consumer rights are protected under Bahrain Consumer Protection Law (Law No. 35 of 2012).

13. Modification of Terms

We may update these Terms from time to time. Changes will be communicated via in-app notification, email, or website notice. Continued use of the App constitutes acceptance of the updated Terms.
